General Terms of use:

• Mango Semiconductors India Private Limited an entity registered under the prevailing laws and regulations of India owns the exclusive, worldwide & non-sublicensable rights over Mangofy.in
• The terms Mango Semiconductors India Private Limited (MSIPL) & Mangofy.in can be used interchangeably.
• The below agreement is an electronic record in terms of the IT Act, 2021 and rules there under as applicable and the amended provisions about electronic records in various statutes
• This agreement contains the terms and conditions that govern your access to and use of the services through a particular account maintained on Mangofy.in. This agreement also contains the sole terms and conditions of sale that apply to the purchase of products from Mangofy.in
• We try to be as accurate as possible. However, we do not warrant that product description or other Site content is accurate, complete, reliable, current, or error-free. Prices and promotions are subject to change and may vary from those offered in our stores. We cannot confirm the availability or price of an item until you place your order. Despite our best efforts, If any item is mispriced or the stock mentioned is incorrect, we may cancel your order or we may contact you for instructions on the order.

Pricing & Availability

Product listings, specifications, availability, and pricing are subject to change without notice. Prices mentioned on the website are exclusive of all taxes & they will be added at the time of despatch and needs to be borne by the customer. The Company has used all reasonable endeavours to ensure that prices mentioned on Mangofy.in or quoted to the Customer are correct but reserves the right to change its prices without notice at any time. In case of Scheduled Delivery (beyond 30 Days of order acceptance), Company reserves the right to charge the Customer further amounts if the price of the Supplies increases before the end of that period.

Country of origin & Date Code

Unless otherwise confirmed by the Company in writing, nothing in these Conditions is to be taken as a representation of the Source of origin, Manufacturer or production of the Goods or Date code of the ordered product.

Backorder

We are committed to providing exceptional customer service and quality products. We endeavour to make sure that all Standard delivery timeframes are specified against each line item mentioned on our website; if an ordered item is not available or we are unable to fulfil your order we will notify you within 2 business days to arrange an agreeable alternative item, a backorder or a full refund.

Quotations. Quotations and prices are for the period specifically stated in a written quotation. If no time is stated, then quotations and prices are subject to change without notice. Orders based on quotation are not binding on the seller until accepted in writing by an authorised representative of the Seller. If a quotation for the supply of goods is given to the purchaser and the Purchaser makes an order but in the meantime goods of the type ordered for any reason become unavailable, the Seller is not obliged to supply such goods and the contract hereby created in respect of such goods is at an end and neither party is required to pay compensation to the other of them.

Price Change. In any event, quotations and prices on orders accepted are subject to change at the time of, and proportionately with, the increase of costs to Seller of the goods caused by the imposition or increase of any tax or duty upon the goods or any supplies or Currency fluctuation, materials used in the goods. An amount equal to any tax or other governmental charge upon the production, sale, occupation of selling, shipment, storage or use of material, which is now, or maybe hereafter, imposed by governmental authorities upon either Purchaser or Seller and which Seller obligated to pay or collect, shall be added, to the extent attributable to the goods to be sold hereunder, to the price quoted herein and shall be paid by Purchaser.

Currency fluctuation. If goods delivered to Purchaser have been purchased by Seller abroad in foreign currency, the risk of an increase in value of that currency about INR on the day of the payment to the seller by Purchaser is Purchaser's risk and Purchaser shall pay such amount of increase to Seller. If the sale to Purchaser has not been made in INR the risk of depreciation of the currency in which the sale has been made about the INR, on the day of Purchaser's payment to the seller is Purchaser's risk and Purchaser shall pay such amount of depreciation to Seller.

Order Confirmation

Our order confirmation to you does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. At any time after receipt of your order, we may accept, decline, or place quantity or other limits on your order for any reason. We may impose these limits on a per-person, per household, per order, or any other basis. If we reject, limit, or otherwise modify your order, we will attempt to notify you using the e-mail address you provide to us. If we cancel an order or part of an order that we've already charged you for, we'll refund you the full amount of the cancelled portion of the order.

Inspection, Defects and Non-Delivery

The Customer must inspect the Supplies as soon as possible, Company shall not be liable for any defect in the Supplies unless written notice is given to the Company within 10 days of the date of delivery to the Customer.

The quantity of any consignment of Goods, as recorded by the company on the sales invoice shall be conclusive evidence of the quantity received by the Customer on delivery, unless the Customer can provide conclusive evidence to the contrary. The Company will not be liable for any non-delivery of Goods or non-performance of Services unless written notice is given to the Company within 10 days of the date of delivery to the Customer in the ordinary course of events.

Warranty/Guarantee

The Company is committed to transferring the benefit of any warranty or guarantee given by the manufacturer to its Customer,

The company will replace the Good or refund the Money in case of product non-conformance to the manufacturer's spec

This obligation will not apply:

• if the defect arises because the Customer has altered or repaired such Goods without the written consent of the Company;
• if the Customer did not follow the manufacturers’ instructions for storage, usage, installation, use or maintenance of the Goods;
• if the Customer has failed to notify the Company of any defect within 10 days of receipt, where the defect should have been reasonably apparent on physical inspection

Performance And Fitness for Purpose

Unless any performance figures, tolerances or characteristics have been specifically and expressly warranted by Company in writing, the Company accepts no liability for any failure of the Supplies to comply with such criteria, whether attributable to the Company’s negligence or otherwise. The responsibility for ensuring that Supplies are sufficient and suitable for a particular purpose is the Customer’s, Any advice or recommendation given by an employee of the Company which is not confirmed in writing is acted on entirely at the Customer’s risk and the Company shall not be liable for any such advice or recommendation which is not so confirmed.

Risk and Ownership of Goods

• When Customer arranges delivery of the Goods from the Company, the risk of damage to or loss of Goods will pass to the Customer,
• Ownership of the Goods shall not pass to the Customer until the Company has received full payment from the Customer, until ownership passes to the Customer, the Customer must hold the Goods on a fiduciary basis as the Company’s bailee. If payment is not received in full by the due date, or the Customer passes a resolution for winding up or a court shall make an order to that effect, or a receiver or administrator is appointed over any assets or the undertaking of the Customer or execution or distress is levied against the Customer, the Company shall be entitled, without previous notice, to retake possession of the Goods and for that purpose to enter upon any premises occupied or owned by the Customer.

Hazardous Applications Prohibited

Mangofy.in products are not recommended or authorized for safety, life support, surgical implant, nuclear, military or commercial aircraft or air traffic applications, or for any use or application in which the failure of a single component could cause substantial harm to persons or property unless an authorized officer of the manufacturer has signed an agreement specifically governing such use. The customer assumes all risk and liability for use in such applications and agrees to indemnify Mangofy.in and the manufacturer of the products for all damages that may be incurred due to the use of Mangofy.in products in these prohibited applications.

The Customer will indemnify the Company and its suppliers against any losses, liability and expenses (including legal and other costs) resulting from any such inclusion or use even if the damage is attributed to defective design or manufacture.

Payment

• Customers can make the payment through credit cards (Master/ Visa) accepted by our payment gateways. The company reserves the right to charge a surcharge which may be assessed for Customers.
• Online payment transfer via NEFT & RTGS or by any valid Telegraphic Transfer shall be accepted.
• Except as otherwise provided herein, the price terms and time of payment may be changed or credit withdrawn by Seller at any time and all deliveries shall be subject to the approval of Seller's credit department.
• Until payment in full is received, the property of the goods remains with the Company and if in the Purchaser's possession, will be held as Bailee and returned immediately unused and undamaged upon demand. The Purchaser will hold the Company indemnified against any claim or liability damage or injury to, or by, the goods in the meantime.
• Unless specifically agreed by the Company in writing before the despatch of goods, no deduction is to be made from payment for retention monies to guarantee the performance of a contract. Any such guarantees must be arranged between the Company and the Purchaser in a form agreed to before such despatch of goods.
• Pricing Error: (a) Although we do our best to ensure prices stated on this website are accurate, errors do occur from time to time. Where a pricing error occurs, we will not be bound by the incorrect pricing stated, and reserve the right to cancel your purchase;
• All past due amounts shall bear interest from and after the due date at the rate of interest from time to time prescribed for the purposes
• If any outstanding dues from the customer are collected through court, probate or bankruptcy proceedings, or if placed in the hands of an attorney for collection. Seller shall be entitled to recover reasonable attorney’s fees and court costs. If the financial position of Purchaser becomes (in the seller's judgement) weakened or if Purchaser shall fail to comply with any provisions hereof or fail to make payments by the terms hereof, Seller may at its option, defer further shipment or, without waiving any other rights it may have, terminate this agreement and other Agreements between Purchaser and Seller.

When purchasing from Mangofy. in- your financial details are passed through a secure server using the latest 128-bit SSL (secure sockets layer) encryption technology.128-bit SSL encryption is the current industry standard.

Credit Card Fraud - We will not bear the risk of credit card fraud (i.e., a fraudulent purchase arising from the theft and unauthorized use of a third party's credit card information) occurring in connection with Your Transactions, and you will bear all other risks of fraud or loss provided,

Shipping and Delivery

• Unless otherwise agreed, shipments are FOB. Seller's shipping point. Shipments will be made by Company’s designated freight forwarder or on a freight collect basis and by the Seller's choice of transport unless otherwise specified before Shipment. Risk of loss of goods subject to the Agreement shall pass to Purchaser upon delivery to the carrier at the point of shipment whether or not freight is pre-paid by Seller.
• Company will use all reasonable endeavours to deliver the Goods to the Customer in mentioned lead time, provided that the Company/ Company's supplier has the Goods ordered in stock. But in no circumstances shall it be liable to compensate the Customer for non-delivery, non-performance or late delivery or performance. Time for delivery and/or performance will not be of the essence.
• The Company reserves the right to delay despatch for reasons like credit checks or full remittance of the funds in an account. In such delays, Company will use reasonable endeavours to inform the Customer.
• Company reserves the right to charge for delivery of certain items, for example, those that are very large, heavy or hazardous, and the Company reserves the right to charge for delivery as standard on certain accounts. Any such charge will be notified to the Customer at the time of the establishment of placing of the order to which such charge applies. Where Goods ordered are non-stock items, the Company will notify the estimated lead times for delivery and any additional delivery charges the buyer
• The Company reserves the right to deliver or perform by instalments. Failure to meet a delivery or performance date where deliveries or performance are by instalment shall not prevent or restrict the Company from making further deliveries or rendering subsequent performance under the relevant Contract by instalment.
• Delivery will be made to the address specified by the Customer. The Company reserves the right to arrange delivery of Goods directly from the manufacturer or supplier of those Goods to the Customer.
• The Company may use any method of delivery available to it. All delivery dates and times given are an estimate
• If Seller tenders the goods for delivery to Purchaser, and so notifies Purchaser, Purchaser will immediately take delivery. Purchaser agrees to furnish adequate facilities for the receipt and unloading of goods

Product Returns

It is a condition of the sale of the goods that the Company is not obligated to accept in any case,  Before returning any Goods for any reason, the Customer must contact the Company to get a returns authorisation number (’RAN’). Goods should be in original packing and undamaged and should be returned at the Customer’s risk and expense. The Company operates a 10-day return policy. Any Goods returned after 10 days as ’unwanted’ or ’incorrectly ordered will not be accepted. All Goods returned (whether within 10 days of delivery or otherwise) will be subject to a restocking fee of 45% of the invoice value of the Goods (subject to a minimum charge of INR 10000). No Goods will be accepted for return without a RAN & Goods returned must be in original packing and unmarked condition,

Product return will not be applicable on the product sold with the condition of NCNR (Non-Cancellable and non-returnable)

Exclusion of liability

The Company will be under no liability to the Customer whatsoever (whether in contract, tort, (including negligence), breach of statutory duty, restitution or otherwise) for any injury, death, damage or direct or indirect or consequential loss (all of which terms include, without limitation, pure economic loss, loss of profits, loss of business, loss of use, loss of data, computer downtime, website down, corruption of data transmitted in connection with use of our website depletion of goodwill, business interruption, increased purchasing or manufacturing costs, loss of opportunity, loss of contracts and like loss) howsoever caused or arising out of or in connection with:

• Any of the Supplies, or the manufacture, sale, performance or supply or failure or delay in performance or supply of the Supplies by the Company or on part of the Company’s employees, agents or sub-contractors;
• Any breach by the Company of any of the express or implied terms of the Contract;
• Any use made or resale or on-supply of any of the Supplies or any product incorporating any of the Goods or developed using the Supplies;
• Any acts or omissions of the Company at the Customer’s premises;
• Any statement made or not made or advice given or not given by or on behalf of the Company, including as to compliance with legislation or regulation; or Otherwise under the Contract.
• And the Company hereby excludes to the fullest extent permissible at law all conditions, warranties and stipulations, express (other than those set out in these Conditions or given by Condition 10) or implied, statutory, customary or otherwise which but for such exclusion, would or might subsist in favour of the Customer.
• The Company’s total liability in contract, tort, (including negligence), breach of statutory duty, misrepresentation or otherwise shall be limited to repairing or replacing Goods or in the case of Services, re-performing the Services or, at the Company’s option, refunding monies already paid in respect of the Supplies.

Description.

• Any representation promises statement or description by the Company or any employee, agent, dealer or other person or company is expressly excluded and the Purchaser acknowledges that he has relied solely upon his inspection and skill and judgement and not because of any such representation, promise, statement or description.
• All photographs, weights, illustrations, dimensions, datasheets, Application notes, packaging, Dispatch notes and any other particulars given in or accompanying a quotation or contained in descriptive literature are approximate & for reference only and deviations therefrom shall not vitiate the contract or make the basis of any claim made against the Company.
• The Company shall take all reasonable steps to ensure the accuracy of Descriptions but relies on such information, if any, as may have been provided to it by its suppliers and accepts no liability in contract or tort or under statute or otherwise for any error in or omission from such Descriptions whether caused by the Company’s negligence or otherwise.
• Whilst every effort and care to be accurate with our part descriptions and attributes is made, errors may occur during interpretation and/or translation. These descriptions and specifications can only be used for guidance since ostensibly their function is for record searching and filtering. For accurate descriptions and specifications, users must refer to the part’s manufacturer datasheet.

Contingencies. The Seller is under no liability to the Purchaser for any delay in the delivery of the goods to the Purchaser caused by any of the following causes namely:- (a) strikes, lockouts, union bans, disputes between employers or disputes between employees; lb) acts of God; (c) any prohibition or embargo imposed by any Act (State or Federal), regulation, ordinance, proclamation, by-law or order; (d) any delay in the manufacture or delivery to the Seller of goods not manufactured by the Seller or materials required by the Seller for the manufacture of goods to be supplied to the Purchaser hereunder; (e) breakdown of machinery; (@ any other matter, cause or thing, beyond the control of the Seller.

Indemnity. Purchaser agrees to indemnify Seller for any liability from the transportation, storage or use of the goods, including liability resulting from Seller's actions, whether negligent or intentional, except that Purchaser shall not be required to indemnify Seller against liability caused solely by the actions of Seller if (i) written notice of any claim based thereon is given to Seller within 15 days of such claim, (ii) the goods deemed to be the subject of such claim are returned to Seller, or reasonable opportunity for testing and inspection given, and (iii) Seller is allowed to direct the defence of any action resulting therefrom

Waivers And Modifications. No representations or statements of any kind made by any representative of Seller, which is not stated herein, shall be binding on Seller. No addition to or modification of any provision upon the face or reverse hereof shall be binding upon Seller unless made in writing and signed by a duly authorised representative of Seller located in Ghaziabad, UP. Purchaser shall be deemed to have accepted the terms hereof without modification if the written objection is not made before shipment. Conflicting printed terms on a purchase order or acknowledgement used by the Purchaser shall be deemed not to constitute a such specific objection. Failure of either party to enforce any right hereunder shall not waive any rights in respect of other or future occurrences.

Intellectual Property Rights & Data Sheets

The Supplies may be subject to intellectual and industrial property rights including patents, know-how, trademarks, copyright, design rights utility rights, database rights and or other rights of third parties. No right or licence is granted to the Customer, except the right to use the Supplies or re-sell the Goods in the Customer’s ordinary course of business. The Company shall have no liability whatsoever in the event of any claim of infringement of any such rights howsoever arising In particular, without limiting the above, title in any software program forming all or any part of the Goods is reserved to the Company and/or its suppliers. The Customer is responsible for informing itself of the terms of its licence or use and paying any royalty payable.

Force Majeure

The Company shall not be liable to the Customer in any manner or be deemed to be in breach of these Conditions because of any delay in performing or any failure to perform any of the Company’s obligations under these Contracts if the delay or failure was due to any cause beyond the Company’s reasonable control (which shall include, but not be limited to government actions, war, fire, explosion, flood, import or export regulations or embargoes, labour disputes or inability to obtain or a delay in obtaining supplies of Goods or labour). The Company may, at its option, delay the performance of, or cancel the whole or any part of a Contract.

Governing Law

All Contracts shall be governed by and interpreted by the laws of India and the Customer submits to the jurisdiction of the courts at Ghaziabad, Uttar Pradesh but the Company may enforce such Contract in any court of competent jurisdiction.

Severability

If any provision or provisions of this Agreement shall be held to be invalid, illegal or unenforceable, such provision(s) shall be enforced to the fullest extent permitted by applicable law, and the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

Termination of Use

We may, in our sole discretion, terminate your account or your use of the Site at any time. You are personally liable for any orders that you place or charges that you incur before termination. We may change, suspend or discontinue all or any aspects of the Site at any time without prior notice.
